10. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. 11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

12. GOVERNING LAW

These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without regard to its conflicts of law principles. If any clause or provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such clause or provision shall not affect the validity of the remaining clauses or provisions of these Terms.

13. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

Disputes Subject to Arbitration. Unless you timely opt out of this Section as provided below, either you or we may elect to have any claim, dispute, or controversy arising out of or relating, directly or indirectly, to the Services or these Legal Terms, including your access to or use of the Services and any Content made available through the Services (collectively, “Claims”), resolved by final and binding arbitration on an individual basis. The arbitration will be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”).

Arbitration Administrator. If arbitration is elected, the arbitration will be conducted before a single arbitrator who is either a lawyer with at least ten (10) years of experience or a retired judge. The arbitrator will decide all Claims and issue a final written decision. You may select either the American Arbitration Association (“AAA”), www.adr.org, or JAMS, www.jamsadr.com, to administer the arbitration under the administrator’s applicable consumer arbitration rules, as modified by these Legal Terms. If neither AAA nor JAMS is available to administer the arbitration and you and we cannot agree in writing on a substitute administrator, a court of competent jurisdiction will select the arbitrator or arbitration administrator. Any substitute arbitrator or administrator must agree to comply with this Section.

Arbitration Costs. Each party will pay the arbitration costs allocated to that party under the applicable arbitration administrator’s rules. Each party will pay its own attorneys’ fees and expert and witness fees and expenses, unless applicable law, these Legal Terms, or the administrator’s rules provide otherwise. If the arbitrator determines that a claim or defense is frivolous or was asserted for an improper purpose, including to oppress or harass the other party, the arbitrator may impose sanctions in the form of fees and expenses reasonably incurred by the other party to the extent such sanctions could be imposed under Rule 11 of the Federal Rules of Civil Procedure.

Applicable Law and Hearing Location. The arbitrator will apply the substantive laws of the State of Delaware, without regard to its conflict-of-laws principles. The arbitrator may award any individual relief that would be available in a Delaware court. The arbitration hearing will take place in the federal judicial district in which you reside, unless you and we mutually agree to another location. Subject to the applicable administrator’s rules, the arbitration may be conducted by telephone or videoconference, based on written submissions, or through an in-person hearing.

Arbitrator’s Award. The arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions supporting the decision and any award. The arbitrator’s award will be final and binding on the parties, subject only to any rights of review expressly available under the FAA. Judgment on the arbitrator’s award may be entered and enforced in any court having jurisdiction.

Exceptions to Arbitration. Notwithstanding the foregoing, nothing in this Section prevents either party from: (a) bringing an eligible individual action in small claims court, provided that the action remains in that court and proceeds only on an individual basis; or (b) seeking temporary or preliminary injunctive relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or other proprietary rights pending final resolution of the Claim.

Class and Representative Action Waiver. ANY ARBITRATION MUST PROCEED ON AN INDIVIDUAL BASIS ONLY. IF YOU OR WE ELECT TO ARBITRATE A CLAIM, NEITHER YOU NOR WE WILL HAVE THE RIGHT TO: (A) PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION IN COURT OR IN ARBITRATION, WHETHER AS A REPRESENTATIVE, MEMBER, OR OTHERWISE; (B) ACT AS A PRIVATE ATTORNEY GENERAL IN COURT OR IN ARBITRATION; OR (C) JOIN OR CONSOLIDATE A CLAIM WITH THE CLAIMS OF ANY OTHER PERSON OR ENTITY WITHOUT THE WRITTEN CONSENT OF ALL PARTIES.

Any arbitration award will determine the rights and obligations of the named parties only and only with respect to the individual Claims submitted to arbitration. No arbitration administrator or arbitrator has authority to waive or modify this paragraph, conduct a class or representative arbitration, or award relief for or against any person who is not an individual party to the arbitration. Any attempt to do so, whether by rule, policy, arbitration decision, or otherwise, will be invalid and unenforceable.

Right to Opt Out of Arbitration. You may opt out of this Section by mailing a signed written notice to:

Futura Medical Developments Limited
Surrey Technology Centre

40 Occam Road
Guildford, Surrey GU2 7YG

United Kingdom

Attention: Legal Department

Your opt-out notice must be postmarked within thirty (30) calendar days after your first visit to the Site. The notice must include your full name, mailing address, email address, and telephone number and must clearly state that you are opting out of the arbitration provision in these Legal Terms. If you timely opt out, the remainder of these Legal Terms will remain in full force and effect.

Jury Trial Waiver and Venue for Non-Arbitrated Claims. If a Claim is not arbitrated, you and we knowingly and voluntarily waive the right to a trial by jury to the fullest extent permitted by applicable law. Any Claim not subject to arbitration will be brought exclusively in the United States District Court for the District of Delaware or, if that court lacks subject-matter jurisdiction, in the state courts located in New Castle County, Delaware. You and we consent to the personal jurisdiction and venue of those courts and waive any objection based on improper venue or inconvenient forum.

Severability and Survival. This Section may be severed or modified to the minimum extent necessary to make it enforceable. However, if the Class and Representative Action Waiver above is found invalid or unenforceable with respect to a particular Claim or requested remedy, that Claim or remedy will proceed in a court of competent jurisdiction and not in arbitration, after completion of arbitration of any Claims that remain subject to arbitration, unless applicable law requires otherwise. This Section will survive the termination of these Legal Terms, the termination of your access to the Services, our discontinuation of the Services, and any bankruptcy to the extent permitted by applicable bankruptcy law.

You may not settle any such claim without our prior written consent if the settlement admits wrongdoing by us or any other indemnified party, imposes any obligation or liability on an indemnified party, or does not provide an unconditional release of all indemnified parties. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
